Rani Kapur Urges Postponement of Sona Comstar AGM, Alleges Coercion and Lack of Transparency

Kapur also raised alarm over alleged unauthorized attempts by certain individuals to make board appointments in her name, without her knowledge or consent.

Rani Kapur, former Chairperson of Sona Comstar and widow of industrialist Dr. Surinder Kapur, has formally requested the deferment of the company’s 29th Annual General Meeting (AGM), originally scheduled for July 25. In a letter addressed to the Board of Directors and shareholders, she cited concerns over alleged coercion, misrepresentation, and lack of transparency in company matters following the sudden and suspicious death of her son, Sanjay Kapur, in the UK on June 12.

Rani Kapur, also the mother of the late Sanjay Kapur—ex-husband of actress Karisma Kapoor—claimed she was coerced into signing undisclosed documents during her period of mourning and has since been denied access to critical financial records and board-related documentation.

“The contents of such documents have never been revealed to me,” she stated, calling for a postponement of at least two weeks to ensure full disclosure before key decisions are made.

Kapur also raised alarm over alleged unauthorized attempts by certain individuals to make board appointments in her name, without her knowledge or consent.

“I have not given any consent or officially nominated any person to come on the Board… or represent me in any capacity,” she emphasized.

As the sole beneficiary of her late husband’s estate and a majority shareholder in the Sona Group, Rani Kapur stressed that any resolutions passed at the AGM could have long-lasting implications for the company and the Kapur family. She warned that proceeding without her consultation would constitute a “conscious decision taken to the detriment of the company and the family.”

Her legal counsel, Senior Advocate Vaibhav Gaggar, confirmed that while no legal proceedings have yet been initiated, the family is seeking a fair opportunity to review and respond to matters on the AGM agenda. A copy of the communication has also been sent to the Securities and Exchange Board of India (SEBI).

The appeal has spotlighted potential governance issues and raised serious concerns regarding succession, shareholder rights, and control within Sona Comstar—one of India’s leading automotive technology firms.
